These Terms and Conditions govern your access to and use of the EQUARE real estate platform and related services.

1. Agreement to these terms

By registering, accessing, or using EQUARE, you agree to be bound by these terms. If you do not agree, do not use the platform. We may update these terms from time to time; material changes will be indicated on the site or by other reasonable means, and continued use after changes constitutes acceptance.

2. Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be legally able to enter into contracts in your jurisdiction. We may suspend or terminate accounts that violate these terms or harm the platform or other users.

3. Use of the platform

EQUARE provides tools for listing, marketing, searching, and collaborating around real property. You agree to use the platform only for lawful purposes and in compliance with applicable federal, state, and local laws and regulations, including fair housing and advertising rules. You will not misuse the site, scrape it in violation of our policies, introduce malware, or attempt unauthorized access.

4. Listings, content, and accuracy

You are solely responsible for the accuracy of listings, photos, descriptions, incentives, open house information, and documents you upload or publish. You represent that you have the right to submit such content. For agent users, you are responsible for MLS and brokerage compliance where applicable. EQUARE may remove or restrict content that appears unlawful, misleading, or in violation of these terms.

5. License to your content

You grant EQUARE a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your content on and through the platform and related marketing channels as reasonably necessary to operate and promote the service. You retain ownership of your content subject to this license.

6. No professional advice; platform only

EQUARE is a technology platform. Nothing on the site constitutes legal, tax, financial, or brokerage advice. EQUARE is not a party to transactions between buyers, sellers, agents, or other users. You are responsible for your own decisions and for engaging licensed professionals where appropriate.

7. Disclaimers

The platform and all content are provided on an as-is and as-available basis. To the fullest extent permitted by law, EQUARE disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or specific business outcomes from use of the platform.

8. Limitation of liability

To the fullest extent permitted by law, EQUARE and its affiliates, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the platform. Our aggregate liability for any claim arising out of these terms or the platform will not exceed the greater of one hundred U.S. dollars or the fees you paid to EQUARE for the service in the twelve months preceding the claim.

9. Indemnity

You agree to defend and indemnify EQUARE against claims, damages, losses, and expenses (including reasonable attorneys fees) arising from your content, your use of the platform, or your violation of these terms or applicable law.

10. Termination

You may stop using the platform at any time. We may suspend or terminate access for breach of these terms or for operational or legal reasons. Provisions that by their nature should survive will survive termination.

11. Governing law

These terms are governed by the laws of the United States and the State in which EQUARE operates its primary business, without regard to conflict-of-law rules. Courts in that State have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction. This is a general template; have qualified counsel review before relying on it.
